By using Digiwava, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use Digiwava. If under 20, you represent that you have parental or guardian consent.

To sell on Digiwava, you must be at least 18 years old, as required by Stripe to create a connected account for receiving payments.

2. Platform Description

Digiwava is a marketplace for digital business products. We provide the platform and payment processing but are not a party to transactions between users. We do not create, verify, or guarantee products.

3. For Buyers

3.1 Purchases

Files remain available for 6 months minimum
Files may be removed for legal or policy reasons; we'll attempt to notify you

3.2 Refund Policy

Digital products are nonrefundable after download or access. If a download is corrupted, contains malware, or is materially not as described, contact support within 7 days of purchase. We will investigate and may:

Provide a corrected file (repair)
Process a refund

We aim to resolve valid claims within 7 business days. Refunds are returned to your original payment method. If a payment is disputed, downloads remain available while the dispute is pending; if the dispute is lost, access is revoked.

3.3 Restrictions

Do not share, resell, or misuse purchased products.

3.4 License Terms

Unless stated otherwise on the product page, your purchase grants a Standard License:

Non-exclusive: Others may purchase the same product
Non-transferable: You may not transfer rights to another person or entity
Non-sublicensable: You may not grant rights to third parties
Single entity use: For you or your business/organization only

You may not:

Resell, redistribute, or bundle the product
Share the product with others outside your organization
Claim the product as your own original work
Use in templates/generators that output the product to end users

If a seller provides custom license terms on the product page, those terms take precedence. Some sellers offer extended licenses that permit additional uses. Check the product page before purchasing if you need rights beyond the Standard License.

4. For Sellers

4.1 Requirements

Thai bank account
Stripe Standard account
Rights to all products sold

4.2 Your Status

You're an independent contractor, not our employee or partner. You act on your own behalf, not on behalf of Digiwava.

4.3 Payments

We use Stripe Connect Standard. You are the merchant of record for your sales. We deduct our platform fee at the time of charge. Payout timing and fees are governed by Stripe and your account settings; we do not control payout schedules.

4.4 Taxes and Invoicing

You're responsible for all tax obligations including VAT registration (if turnover exceeds ฿1.8 million) and withholding tax. As the merchant of record, you are responsible for issuing compliant invoices or receipts to buyers upon request. We send payment confirmations but these are not tax invoices.

4.5 Products

You retain ownership and grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your products as necessary to operate the Service and deliver purchases to buyers. Updates you publish are available to existing buyers at no additional charge.

4.6 Chargebacks and Risk Management

You are responsible for chargebacks and related fees. You authorize us to:

Deduct chargebacks, refunds, and Stripe fees from your balance or future payouts
Delay or adjust payout schedules to manage risk, prevent fraud, or comply with Stripe and banking requirements

We will provide available evidence to help you contest chargebacks.

5. Prohibited Conduct

Do not:

Sell content you don't have rights to, or content that is illegal or harmful
Infringe on intellectual property rights
Create accounts to evade bans or manipulate ratings, reviews, or sales metrics
Harass users or expose their personal information
Circumvent platform fees
Scrape, crawl, or automated access to the platform without permission
Upload malware or attempt to bypass security measures

6. Intellectual Property

6.1 Your Content

You retain ownership and grant us license to display and deliver your products.

6.2 Our Platform

We own the platform. Don't copy or reverse engineer it.

6.3 IP Disputes

We operate a notice-and-takedown process. To report alleged infringement, email [email protected] with:

Links to your original work and the allegedly infringing listing
Proof of ownership or authorization to act on behalf of the rights holder
A statement that your notice is accurate and made in good faith

We review notices and may remove or restrict access to content while we investigate. If your content is removed, you may submit a counter-notice with supporting details explaining why you believe the removal was in error. We aim to respond within a reasonable time.

We may terminate accounts of repeat infringers. We are not a party to user-to-user disputes.

7. Payments

Payments are processed by Stripe. Prices are set by sellers. Our platform fee is deducted at the time of charge. Sellers are responsible for their own tax obligations.

9. Disclaimers and Liability

9.1 No Warranties

Digiwava is provided "as is" without any warranties.

9.2 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim is limited to the amounts you paid to us (platform fees, if any) in the six (6) months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for user content or conduct.

9.3 Indemnification

You'll defend us from claims arising from your use of Digiwava or violations of these Terms.

9.4 Security Scanning

We scan files for malware, but cannot guarantee detection or removal of every issue. You should scan files before use.

9.5 Beta Features

Features labeled as beta or preview are provided "as is" and may change or be discontinued anytime.

10. Account Termination

10.1 By You

You can delete your account anytime from the account settings.

10.2 By Us

We may suspend or terminate accounts that:

Violate these Terms
Engage in illegal activity
Harm other users
Remain inactive (no sign-in or transactions) for 12 consecutive months

10.3 Effect of Termination

Access ends immediately. Buyers keep access to purchased files for 6 months. No refunds. Certain data is retained per legal requirements (financial records for 5 years, chat messages for 90 days). See our Privacy Policy for full retention details.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Thai law. Venue and jurisdiction are the courts of Bangkok, Thailand.

11.2 User Disputes

Disputes between users are not our responsibility.

11.3 Class Actions

Disputes are resolved individually to the extent permitted by law.

12. Changes to Terms

We may update these Terms anytime. We'll notify you of significant changes via email or platform notification. Continued use after changes means acceptance.

13. General

These Terms and our Privacy Policy are the entire agreement. Invalid provisions don't affect the rest. You can't transfer your rights without permission.

Force Majeure: We're not liable for delays or failures due to events beyond our reasonable control.
