By using Digiwava, you agree to these Terms.

1. Eligibility

You must be at least 13 years old. If under 20, you represent that you have parental permission.

Account Requirements:

One account per person
Accurate information required
You're responsible for account security

2. Platform Description

Digiwava is a marketplace for digital business products. We provide the platform and payment processing but are not a party to transactions between users.

We host files and process payments but don't create, verify, or guarantee products.

3. For Buyers

3.1 Purchases

Download links expire after 1 hour (regenerate from Purchases page)
Files remain available for 6 months minimum
Your cart may be limited to products from one seller per order
Files may be removed for legal or policy reasons; we'll attempt to notify you

3.2 Refund Policy

All sales are final, except where required by law. If a download is corrupted, malicious, or materially not as described, contact support within 7 days of purchase. We may repair, replace, or refund at our discretion.

3.3 Restrictions

Do not share, resell, or misuse purchased products.

3.4 License Terms

Your use of purchased products is governed by the license specified on the product page. If a seller provides license terms, those terms control. Do not redistribute or resell unless expressly permitted by that license.

4. For Sellers

4.1 Requirements

Thai bank account
Stripe Standard account
Rights to all products sold

4.2 Your Status

You're an independent contractor, not our employee or partner. You act on your own behalf, not on behalf of Digiwava.

4.3 Payments

We use Stripe Connect Standard. You are the merchant of record for your sales. We deduct our platform fee at the time of charge. Payout timing and fees are governed by Stripe and your account settings; we do not control payout schedules.

4.4 Taxes

You're responsible for all tax obligations including VAT registration (if turnover exceeds THB 1.8 million) and withholding tax.

4.5 Products

You retain ownership and grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your products as necessary to operate the Service and deliver purchases to buyers. Updates you publish are available to existing buyers at no additional charge.

4.6 Chargebacks

You are responsible for chargebacks and related fees. You authorize us to deduct chargebacks, refunds, and Stripe fees from your future payouts. We will provide available evidence to help you contest chargebacks.

5. Prohibited Conduct

Do not:

Sell unauthorized, illegal, or harmful content
Violate intellectual property rights
Create multiple accounts or manipulate systems
Harass others or share personal information
Circumvent fees or scrape the platform
Upload malware or attempt to bypass security or rate limits
Access or scrape non-public areas or APIs without permission

6. Intellectual Property

6.1 Your Content

You retain ownership and grant us license to display and deliver your products.

6.2 Our Platform

We own the platform. Don't copy or reverse engineer it.

6.3 IP Disputes

We operate a notice-and-takedown process and may remove or disable access to content upon receiving a valid notice. We may terminate accounts of repeat infringers. We are not a party to user-to-user disputes.

7. Payments

Payments are processed by Stripe. Prices are set by sellers. Taxes may be included in the price or added at checkout depending on region and Stripe settings. Where applicable, Stripe may collect and remit taxes on the seller's behalf. Our platform fee is deducted at the time of charge.

9. Disclaimers and Liability

9.1 No Warranties

Digiwava is provided "as is" without any warranties.

9.2 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim is limited to the amounts you paid to us (platform fees, if any) in the six (6) months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for user content or conduct.

9.3 Indemnification

You'll defend us from claims arising from your use of Digiwava or violations of these Terms.

9.4 Security Scanning

We scan files for malware, but cannot guarantee detection or removal of all threats. You should scan files before use.

9.5 Beta Features

Features labeled as beta or preview are provided "as is" and may change or be discontinued anytime.

10. Account Termination

10.1 By You

You can delete your account anytime through account settings page.

10.2 By Us

We may suspend or terminate accounts that:

Violate these Terms
Engage in illegal activity
Harm other users
Remain inactive (no sign-in or transactions) for 12 consecutive months

10.3 Effect of Termination

Access ends immediately. Buyers keep purchased files for 6 months. No refunds.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by Thai law. Venue and jurisdiction are the courts of Bangkok, Thailand.

11.2 User Disputes

Disputes between users are not our responsibility.

11.3 Class Actions

Disputes are resolved individually to the extent permitted by law.

12. Changes to Terms

We may update these Terms anytime. We'll notify you of significant changes via email or platform notification. Continued use after changes means acceptance.

13. General

These Terms and our Privacy Policy are the entire agreement. Invalid provisions don't affect the rest. You can't transfer your rights without permission.

Force Majeure: We're not liable for delays or failures due to events beyond our reasonable control.
